Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Vyora website (vyoranexus.com), the Vyora ERP platform, and related products and services offered by Vyora Technologies (“Vyora”, “we”, “us”). By accessing or using Vyora, you agree to these Terms.
1. Acceptance of terms
If you use Vyora on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the website or services.
Additional product-specific terms, order forms, or statements of work may apply to custom development, GST filing, or other professional services.
2. Services we provide
Vyora offers (a) a multi-tenant ERP and business OS for finance, invoicing, GST tools, expenses, HR, inventory, documents, and related modules; (b) marketing website and demo/signup flows; and (c) optional professional services such as website/app development, compliance support, and related consulting.
Features available to you depend on your plan, enabled modules, credits, and role-based permissions inside your workspace.
3. Accounts and workspaces
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account and for managing team members you invite.
Workspace Owners and administrators control roles, module access, and configuration. Vyora is not responsible for losses arising from misconfigured permissions or shared credentials.
4. Acceptable use
You agree not to misuse Vyora. Prohibited conduct includes:
- Violating applicable laws, including tax, data protection, and intellectual property laws
- Uploading malware, unlawful content, or content you do not have rights to use
- Attempting to gain unauthorised access to systems, tenants, or data belonging to others
- Reverse engineering, scraping at abusive scale, or disrupting service availability
- Using the platform to send spam or deceptive communications
- Reselling access without our prior written consent
5. Your content and data
You retain ownership of business data and files you upload (“Customer Data”). You grant Vyora a limited licence to host, process, and display Customer Data solely to provide and improve the services.
You represent that you have all rights needed to upload Customer Data and that it does not infringe third-party rights. You are responsible for the accuracy of invoices, GST figures, payroll inputs, and other records you generate.
6. Plans, credits, and payments
Certain features consume credits or require a paid plan. Prices, credit costs, and quotas may change with notice where required.
Fees are non-refundable except where required by law or expressly stated in writing. Failed payments may result in suspension of paid features.
7. Professional services
Custom development, GST filing assistance, registrations, and similar services may be scoped separately. Deliverables, timelines, and fees for those engagements are governed by the applicable proposal or agreement.
Advice related to tax or compliance is informational and based on information you provide; you remain responsible for filings and statutory obligations unless a written engagement states otherwise.
8. Intellectual property
Vyora, including software, branding, designs, and documentation, is owned by Vyora Technologies or its licensors. These Terms do not transfer ownership of our IP to you.
Feedback you submit may be used by us without obligation to you.
9. Confidentiality
Each party agrees to protect the other’s confidential information and use it only for purposes of the relationship. Customer Data is treated as your confidential information, subject to our Privacy Policy and operational necessity.
10. Third-party services
Vyora may integrate with or rely on third-party infrastructure (cloud hosting, object storage, OCR, email, payments). Those services are subject to their own terms. We are not liable for outages or acts of third parties beyond our reasonable control.
11. Disclaimers
Except as expressly stated in writing, Vyora is provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation, or that outputs (including GST summaries, journals, invoices, or reports) are free from defects or suitable for every regulatory purpose without your review.
You should verify critical financial and compliance outputs before relying on them for filings or statutory submissions.
12. Limitation of liability
To the maximum extent permitted by law, Vyora and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our aggregate liability arising out of these Terms or the services in any twelve-month period will not exceed the amounts you paid to Vyora for the services giving rise to the claim during that period (or INR 10,000 if you are on a free plan).
13. Indemnity
You agree to indemnify and hold harmless Vyora from claims arising out of your Customer Data, your misuse of the services, your violation of these Terms, or your infringement of third-party rights.
14. Suspension and termination
We may suspend or terminate access if you breach these Terms, create security risk, fail to pay fees, or if required by law. You may stop using the services at any time and request account closure via hello@vyoranexus.com.
Upon termination, your right to access the services ends. Provisions that by nature should survive (IP, liability limits, indemnity, governing law) will survive.
15. Changes to the terms
We may update these Terms periodically. Material changes will be reflected by an updated “Last updated” date and, where appropriate, additional notice. Continued use after changes become effective constitutes acceptance where permitted by law.
16. Governing law and disputes
These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
